Beta Tester Agreement (DRAFT)

IMPORTANT: This is a working draft flagged for counsel. It has not been reviewed or approved by a lawyer. Do not treat it as final or binding until 3rdSpace publishes a counsel reviewed version. The wording below describes the intent of the 3rdSpace Beta Program and will change as the program and the software evolve.

Plain language summary

Read this short summary first. The numbered sections after it are the full agreement, and they control if anything here is unclear. By accepting this agreement you are telling us that you understand and agree to all of the following.

  • This is beta software, and it will change. Expect bugs, errors, missing features, and downtime. Both these terms and the tasks you complete to keep your free access can change, sometimes often, and sometimes without much notice.
  • Your data may be lost. Do not keep anything here that you cannot afford to lose. Keep your own copies of important business data.
  • The deal: free Unlimited features in exchange for real usage plus feedback. While you qualify, your organization gets the Unlimited tool set at no subscription cost. AI, SMS, and email usage credit is not included in the free deal and is bought separately.
  • You have to keep qualifying. There is a set of required tasks, plus a set where you pick some tasks to complete each period. If you stop meeting them, we warn you, then we can move you to the Free plan. The exact tasks and thresholds are set in the product and can be tuned each period.
  • No refunds during beta, including on any credit you buy or any subscription you choose to pay for during beta.
  • Support is limited and may be slow. We are a small team building quickly.
  • You can pay for a normal subscription during beta if you want to. If you do, these same beta terms still apply to your use of the software.
  • A service fee is coming. When we turn on host payments, we will charge a small service fee on money you collect through the platform. That fee is not active yet. This agreement is your advance notice that it is planned.
  • You can export your data. We offer a way to get your data out.

If you do not agree with any of this, do not accept, and do not use Beta Tester Mode.

1. What the 3rdSpace Beta Program is

The 3rdSpace Beta Program gives your organization free access to the Unlimited tool set while 3rdSpace is still in active development, in exchange for real usage of the tools plus regular feedback. No card is required to join the beta itself.

The free access is delivered on the trial tier, which unlocks every tool. It does not include an AI, SMS, or email usage allowance. Included usage credit for the free beta deal is zero. If you want to use AI, SMS, or email features, you buy usage credit separately, the normal way.

Beta access has no fixed end date. It continues while your organization keeps qualifying (Section 4) and while 3rdSpace continues to offer the program.

2. Early access, and things will break

The software you are testing is pre release. You should expect bugs, errors, incomplete features, downtime, and changes that happen without notice. Features may be added, changed, or removed at any time.

These terms will change, sometimes often, as the program develops. When they change, we update the version identifier on this document. Your continued use of Beta Tester Mode after an update means you accept the updated terms. We may also ask you to re-accept.

The tasks and thresholds that decide whether you keep your free access (Section 4) are also expected to change from period to period. They are set in the product, not fixed in this document, and we may adjust them as we learn what real usage looks like.

3. Your data may be lost

Because this is a testing environment for software under development, your data may be damaged, corrupted, or lost. Do not rely on 3rdSpace as the only place your important business data lives during the beta. Keep your own copies of anything you cannot afford to lose.

We offer a way to export your data so you can keep your own copy. See Section 9.

4. The deal: free access for usage plus feedback

Beta access is provided in exchange for two things: real, ongoing usage of the tools, and regular feedback. To keep your free access, your organization must keep meeting the program requirements for each period. Those requirements are of two kinds:

  • Required tasks that all apply. For example, completing each period's feedback form on time, building up your customer list to the stated size with the stated share opted in to marketing, and completing and publishing your location profile. Some required tasks are marked coming soon and do not apply until the feature they depend on is live.
  • A choose some of these set. A list of usage tasks from which your organization must complete at least a set number each period. For example, meaningful AI usage, running a well attended entertainment session, earning a number of QR scans, growing your customer list, or reaching your audience with a campaign.

The exact tasks, the numbers, how they scale if you operate more than one location, and how many of the choose some set you must complete are configured in the product and shown to you there. They can be tuned each period. One real action can count toward more than one task at the same time.

Your organization qualifies as a whole. The free access is granted at the organization level, all or nothing, not per location.

If you stop qualifying, we do not cut you off silently. You will get a notice partway through the period, a firmer warning before the period ends, and a fail notice if you did not meet the bar. If your organization fails to qualify for two periods within any rolling six period window, we may end your beta access and move your organization to the Free plan. We can also end beta access for the reasons in Section 7. This free access is a conditional, revocable benefit, not a permanent entitlement.

5. No refunds during beta

Beta access itself is free. If you choose to buy usage credit, or to pay for a normal subscription during beta (Section 8), those payments are non refundable during the beta, to the maximum extent allowed by law. Do not spend money on the platform during beta expecting to get it back.

6. Limited support

Support during beta is limited and may be slow. We are a small team building quickly, and we triage by severity at our discretion. We are not promising any particular response time during the beta.

7. No liability, and ending the beta

To the maximum extent allowed by law, 3rdSpace is not liable for any loss or damage that results from using pre release beta software, including lost data, lost revenue, or business interruption. Beta Tester Mode is provided "as is" and "as available", with no warranties.

Either you or 3rdSpace can end Beta Tester Mode at any time, for any reason or no reason. When it ends, your organization moves to the Free plan under the normal plan rules, and your data is handled under the standard 3rdSpace policies. Ending beta access does not entitle you to any refund (Section 5).

8. Paying for a subscription during beta

You may also choose to pay for a normal 3rdSpace subscription during the beta instead of, or in addition to, the free beta access. If you do, these beta terms still apply to your use of the software: it is still pre release, bugs and data loss are still possible, support is still limited, and the no refunds terms in Section 5 still apply. Paying does not remove the beta risks.

9. Data export

We offer a way to export your data so you can keep your own copy and are not locked in. If you need help exporting, contact support at the published contact address. This does not change the fact that your data may be lost during beta (Section 3); export is a safeguard, not a guarantee.

10. Service fee acknowledgment (activates when payments go live)

3rdSpace plans to let hosts collect payments from their own customers through the platform. When that goes live, 3rdSpace will charge a service fee on money you collect through the platform, at the rate disclosed in the product and the main Terms of Service at that time. That fee is not active yet, and no such fee is charged today. By accepting this agreement you acknowledge, in advance, that this service fee is planned and that it will apply once host payments are turned on. We will not start charging it without making it visible in the product first.

11. Confidentiality

Beta features may not be public yet. Please do not publicly share screenshots or details of unreleased features without asking first.

12. Where this fits

This agreement is in addition to the 3rdSpace Terms of Service, Privacy Policy, and Acceptable Use Policy, which continue to apply. Article 34 of the Terms of Service also describes the beta program. If this agreement and the Terms of Service ever conflict on a beta specific point, this agreement controls for that point while you are in the beta.
